Sinomine Resource Group has agreed to acquire a 90% interest in the holding company of Tyranna Resources' Namibe lithium-caesium project in southern Angola for US$1.44 million, extending its African lithium ore footprint beyond existing operations in Zimbabwe, Namibia and the DRC.
Deal Structure
The transaction runs through Tyranna's 97% owned subsidiary, Angolan Minerals Pty Ltd, which has executed a binding share purchase agreement to sell its 90% interest in AM (Mauritius) Limited the Mauritius-incorporated entity that holds the Namibe project to Sinomine Resource (Guangdong Hengqin) Supply Chain Co., Ltd, a member of the Shenzhen Stock Exchange-listed Sinomine Resource Group. The deal required approval from Tyranna shareholders at a general meeting held in Perth on August 7; completion was targeted for mid-August pending that approval and Chinese outbound investment clearance.
Project Background
Namibe has been under exploration for four years, with drilling confirming spodumene and pollucite mineralisation. Sinomine has been a funding partner since 2023 and already holds rights under a royalty deed dated 26 June 2023 over the project. The asset sits in Namibe Province in southwest Angola, a southern African jurisdiction adjoining Sinomine's existing Namibian and Zimbabwean lithium operations.
Capital Redirected to Gold
Tyranna will direct proceeds toward its Chinguar gold project in Angola, where the exploration team is preparing stream sediment sampling, soil surveys and lateritic gold target assessment. Managing Director David Crook described the divestment as a decision to focus on other Angolan opportunities after four years of work at Namibe, framing it as a rotation toward the company's highest-priority exploration assets.

The deal extends Sinomine's low-cost consolidation of early-to-mid-stage African lithium ore assets into a new southern African jurisdiction, building on its Bikita platform in Zimbabwe. For Tyranna, exiting a pre-development lithium asset to fund gold exploration reflects a wider pattern among smaller Angola-focused juniors rotating capital away from lithium amid subdued pricing toward commodities with faster near-term return potential.
